Introduction

The following terms and conditions govern the use of the Biz-on platform and services provided by Biz-on. By using the platform and services, you agree to these terms and conditions. Please read them carefully before using the platform.

Definitions

• "Platform" refers to the Biz-on platform.
• "Services" refers to the accounting, bookkeeping, business setup, and other services provided by Biz-on.
• "User" refers to any individual or entity that uses the Biz-on platform.
• "Subscription" refers to the package or plan that a User has subscribed to for Biz-on's services.
• "Content" refers to any text, graphics, images, or other material posted or uploaded to the platform by a User.
• "Intellectual Property" refers to any patents, trademarks, copyrights, or other proprietary rights owned by Biz-on or its partners.
• "Confidential Information" refers to any non-public information or data shared between Biz-on and its Users.
• "Force Majeure" refers to any unforeseeable events or circumstances that may prevent or delay Biz-on's performance under the agreement.

Services provided

1. 1Company Formation: We provide services for setting up a business in the UAE, including assistance with obtaining necessary licenses and permits.
2. 2Accounting and Bookkeeping: Our team of experts can handle all your financial reporting and tax compliance needs, so you can focus on growing your business.
3. 3ESR Compliance and Reporting: We provide assistance in the preparation and filing of ESR compliance and reporting requirements for SMEs in the UAE.
4. 4Intellectual Property Registration: We assist with the registration and protection of intellectual property rights for our clients.
5. 5Marketing Analysis and Business Development: We offer services for market analytics, customer development, regulatory compliance, company business model, and organization and maintenance of the sales process in the UAE market.
6. 6Other Services: We provide other services as required by the client, subject to agreement on scope and pricing.

Fees and payments

By using the Biz-on platform and services, you agree to pay all fees associated with the services you select. All fees will be clearly displayed and agreed upon prior to the use of the service. Payment is due upon completion of the service and must be made in the form agreed upon. Failure to pay fees may result in the suspension or termination of your account and access to the services provided by Biz-on.

All fees and charges are exclusive of any applicable taxes and duties. You are responsible for paying any and all applicable taxes and duties that may be assessed in connection with your use of the Biz-on services.

All fees and charges are subject to change at any time without notice. We will provide notice of any fee changes on the platform or via email. Any changes to fees and charges will not apply to services that have already been purchased prior to the date of the fee change.

User obligations

By agreeing to these terms and conditions, you acknowledge and agree to the following user obligations:

1. 1Account information: You agree to provide accurate and complete information when creating an account on the Biz-on platform, and to keep your account information up-to-date.
2. 2Lawful use of services: You agree to use the services provided by Biz-on solely for lawful purposes and in accordance with applicable laws and regulations.
3. 3No interference with platform: You agree not to engage in any activity that may interfere with the proper functioning of the platform, including but not limited to: attempting to access or modify any part of the platform that you are not authorized to access, using any automated means to interact with the platform, or attempting to disrupt or interfere with the services provided by Biz-on.
4. 4Account security: You agree to take reasonable precautions to protect your account information, including using a secure password and not sharing your login credentials with others.
5. 5Cooperation with investigations: You agree to cooperate with Biz-on in the event of any investigations or disputes arising from your use of the platform.
6. 6Indemnification: You agree to indemnify and hold harmless Biz-on, its affiliates, officers, agents, and employees, from any claims, damages, or losses arising from your use of the platform or any breach of these terms and conditions.

User data and privacy

By agreeing to these terms and conditions, you acknowledge and agree to the following with regards to user data and privacy:

1. 1Collection, storage, and use of personal information: Biz-on will collect, store, and use your personal information in accordance with our Privacy Policy.
2. 2Accuracy of information: You agree to provide accurate and complete information when creating an account and using our services, and to keep your information up-to-date.
3. 3Account security: You are responsible for maintaining the confidentiality of your account information, including your username and password, and for all activities that occur under your account.
4. 4Disclosure of account information: You acknowledge and agree that Biz-on may access, preserve, and disclose your account information and User Data if required to do so by law or in a good faith belief that such access, preservation, or disclosure is reasonably necessary to comply with legal process, respond to claims, or protect the rights, property, or safety of Biz-on, its users or the public.
5. 5Use of User Data: You acknowledge and agree that Biz-on may use your User Data to provide and improve our services, and to communicate with you about our services, promotions, and events.
6. 6User rights: You have the right to access and correct your personal information, and to request that we delete your account and personal information.
7. 7Cookies and tracking technologies: You agree that Biz-on may use cookies and other tracking technologies to enhance your user experience and improve our services.
8. 8Compliance with laws and regulations: You agree to comply with all applicable laws and regulations related to the collection, use, and disclosure of personal information, including but not limited to the UAE's Data Protection Regulations.

Intellectual property

All content on the Biz-on platform, including but not limited to text, graphics, logos, images, audio clips, video clips, and software, is the property of Biz-on or its content suppliers and is protected by UAE and international copyright laws. The compilation of all content on this site is the exclusive property of Biz-on and is protected by UAE and international copyright laws.

You agree not to copy, reproduce, modify, distribute, display, perform, or create derivative works from the content available on the Biz-on platform. You also agree not to use any logos or trademarks displayed on the platform without the prior written consent of Biz-on or the respective owner of the trademark. Any unauthorized use of the content or trademarks may result in legal action.

Liability and indemnification

1. 1The User shall be liable for any actions or omissions made by them or any third party acting on their behalf, in connection with their use of the platform.
2. 2The User agrees to indemnify and hold harmless Biz-on, its officers, directors, employees, agents, and affiliates from any claims, damages, liabilities, costs, or expenses arising out of or in connection with the User's use of the platform.
3. 3Biz-on shall not be liable for any damages or losses arising from the User's use of the platform, including but not limited to, direct, indirect, incidental, or consequential damages, lost profits, or lost data.
4. 4In no event shall Biz-on be liable for any damages or losses resulting from the use of the platform by the User or any third party.
5. 5The User acknowledges that Biz-on is not responsible for any damages or losses resulting from the use of the platform by third parties or for any unauthorized access to the User's account or data.
6. 6The User shall promptly notify Biz-on of any unauthorized access to their account or data.
7. 7Biz-on shall not be liable for any delay or failure to perform any obligations under these terms and conditions if such delay or failure is caused by events beyond its reasonable control, including but not limited to, acts of God, war, terrorism, or natural disasters.
8. 8The User agrees to cooperate with Biz-on in the defense of any claim or action brought against it arising out of or in connection with the User's use of the platform.
9. 9The User agrees to bear all costs associated with such defense, including but not limited to, reasonable attorneys' fees, costs, and expenses.
10. 10The provisions of this section shall survive any termination or expiration of these terms and conditions.

Termination

Either party may terminate this agreement at any time with written notice to the other party. Upon termination, all rights and licenses granted under this agreement will immediately terminate, and the user must immediately cease all use of the platform and services provided by Biz-on.

Biz-on reserves the right to terminate this agreement immediately without notice if the user breaches any of the terms and conditions of this agreement, violates any applicable laws, or engages in any activity that may cause harm to Biz-on or any third party.

Upon termination, the user must immediately pay any outstanding fees or charges owed to Biz-on for services rendered up to the date of termination. Biz-on will not be liable for any damages or losses resulting from the termination of this agreement.

Dispute resolution

In the event of a dispute arising between the user and Biz-on, both parties agree to attempt to resolve the matter amicably through negotiation and discussion. If the dispute cannot be resolved through negotiation and discussion, either party may seek to resolve the dispute through legal action.

The user agrees to indemnify and hold Biz-on harmless from any and all claims, losses, damages, expenses, and liabilities arising out of or in connection with any dispute between the user and any third party, including but not limited to any claims relating to the user's use of the platform or the services provided by Biz-on.

This agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through amicable negotiations between the Parties. In the event the Parties fail to reach an amicable resolution, the dispute, controversy, or claim shall be referred to and finally resolved by arbitration under the Rules of Arbitration of the Dubai International Financial Centre - London Court of International Arbitration ("DIFC-LCIA"), which Rules are deemed to be incorporated by reference into this clause.

The number of arbitrators shall be one. The seat or legal place of arbitration shall be Dubai, UAE. The language to be used in the arbitral proceedings shall be English.

Governing law

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Arab Emirates.

If any part of this agreement is deemed to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. This agreement constitutes the entire agreement between the user and Biz-on and supersedes all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter of this agreement.

Biz-on may amend or modify these terms and conditions at any time without notice. The user's continued use of the platform and services provided by Biz-on after such modifications shall constitute acceptance of the new terms and conditions.

Offer Agreement for Accounting Services

This Offer Agreement (the "Agreement") is made and entered into on the date of acceptance (the "Effective Date") by and between Biz-on, a company organized under the laws of the United Arab Emirates, and the undersigned client ("Client"), with a place of business located at Dubai Silicon Oasis, DDP, Building A2, Dubai.

WHEREAS, Client desires to obtain accounting services, and Biz-on is willing to provide such services subject to the terms and conditions of this Agreement.

NOW, THEREFORE, the parties agree as follows:

1. 1Scope of Services. Biz-on agrees to provide the following accounting services to Client (the "Services"):

• Bookkeeping and accounting
• Financial statements preparation
• Tax compliance and reporting
• Other accounting services as agreed upon by the parties.

1. 1Payment. Client agrees to pay Biz-on the fees set forth in the attached Schedule A for the Services. Client will be invoiced on a monthly basis, and payment is due within 30 days of the invoice date.
2. 2Term. This Agreement shall commence on the Effective Date and continue until terminated by either party upon 30 days' written notice to the other party.
3. 3Termination for Cause. Either party may terminate this Agreement upon written notice to the other party if the other party is in material breach of this Agreement and fails to cure such breach within 30 days of receiving written notice thereof.
4. 4Confidentiality. Both parties agree to keep confidential any information received from the other party in connection with this Agreement and to use such information only for the purposes of providing or receiving the Services.
5. 5Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.
